Matter summaries

Matter I Distribution Agreement Dispute · Kuala Lumpur High Court

The Situation

A consumer goods company received a claim from a terminated distributor alleging wrongful termination and loss of profits. The claim was for RM 380,000. The client had served valid termination notice but the distributor disputed the adequacy of cause.

The Engagement

We reviewed the distribution agreement and termination correspondence, assessed the strength of the client's position, and filed a defence at the High Court. An interlocutory application to strike out parts of the claim was prepared and heard. Settlement negotiations ran alongside the proceedings.

The Outcome

The matter settled after the interlocutory hearing for RM 45,000 — substantially below the claimed amount. Total duration from engagement to settlement: 11 months. The client avoided trial and the associated costs and management time.

Matter II Receivables Recovery Programme · Portfolio Engagement

The Situation

A property services company had fourteen outstanding receivables totalling approximately RM 620,000, spread across different debtors and stages of recovery. Some had been passed to debt collectors with no result. Others had received demand letters but no proceedings had been filed.

The Engagement

We conducted a portfolio review and ranked the matters by recovery prospect and cost-effectiveness. Seven were recommended for court proceedings, four for renewed negotiation, and three were assessed as not worth pursuing at that time. Proceedings were filed in the Sessions Court for the seven priority matters.

The Outcome

Over twelve months, RM 390,000 was recovered across the seven litigated matters — four by judgment, three by settlement. The three deferred matters were reviewed at the twelve-month point. Quarterly reporting was maintained throughout for board visibility.

Matter III Shareholder Dispute · Pre-Litigation Assessment

The Situation

A minority shareholder in a private company disputed decisions made by the majority shareholder regarding dividend distribution and related-party transactions. The client believed the majority had acted oppressively under Section 346 of the Companies Act 2016.

The Engagement

The pre-litigation assessment engagement was used first — we reviewed the shareholders' agreement, the company's accounts, and minutes of meetings. We provided a written opinion on the viability of an oppression claim and what evidence would be needed to support it.

The Outcome

The written assessment enabled the client to enter negotiations with the majority shareholder on an informed basis. The parties reached agreement on a share buyout within three months of the assessment, without issuing proceedings. The client considered the engagement fee of RM 720 well justified by the outcome.
